Terms of Service

1. ACCEPTANCE OF TERMS

By accessing or using OpenSERP ("Service"), including our website at openserp.org and our API, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is operated by TATLAB LTD, a company registered in England and Wales (company number 17289453), with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("we", "us", "our").

2. DESCRIPTION OF SERVICE

OpenSERP provides a search engine results API that allows programmatic access to web search results from multiple search engines. The Service is offered on a pay-as-you-go basis.

If you join the OpenSERP Cloud waitlist or early-access program, we may contact you by email about early access, onboarding, product availability, and related launch updates. Waitlist data handling is described in our Privacy Policy.

3. ACCOUNTS

  • You must provide a valid email address and a secure password (minimum 10 characters)
  • You are responsible for maintaining the confidentiality of your account credentials and API keys
  • You must not share API keys or allow unauthorized access to your account
  • You are responsible for all activity that occurs under your account
  • API keys are shown once at creation; lost keys cannot be recovered and must be revoked

4. ACCEPTABLE USE

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to circumvent rate limits or security measures
  • Resell or redistribute API access without authorization
  • Use the Service to scrape, harvest, or collect personal data of individuals
  • Interfere with or disrupt the Service infrastructure
  • Exceed documented rate limits (currently 60 requests per minute per API key)

5. PAYMENT, BILLING AND REFUNDS

  • The Service uses a pay-as-you-go prepaid credit model
  • Credits are purchased in advance and deducted per API request
  • Payments are processed by third-party providers: Stripe for card payments and NOWPayments for cryptocurrency. We do not directly receive or store full card numbers or security codes, but we retain transaction identifiers and related payment records
  • Credits are delivered to your account balance immediately once payment is confirmed
  • Unused credits do not expire
  • The displayed US-dollar total is the amount we charge and includes any tax we are required to collect; a payment provider or cryptocurrency network may disclose separate charges before payment
  • Prices may change with 30 days' notice

Except where mandatory law provides otherwise, top-ups are non-refundable after the applicable cancellation period and once credits have been used. We may also grant a refund at our discretion.

If you are a UK consumer, you generally have 14 days from purchase to cancel. By selecting the immediate-service request before checkout, you expressly ask us to make the Service available during that period. If you cancel after using any credits, we may deduct an amount proportionate to the Service already supplied. The cancellation right ends once the Service has been fully performed.

To cancel or request a refund, email [email protected] with your account email, payment date and amount, and a clear statement that you wish to cancel. We will return any refund due using the original payment method where reasonably possible. Cryptocurrency settlement being irreversible does not limit any mandatory refund right. Nothing in these Terms limits rights relating to a Service that is faulty, not as described, or otherwise protected by mandatory law.

6. API USAGE

  • You receive API results as-is; search results originate from third-party search engines
  • We do not guarantee the accuracy, completeness, or availability of search results
  • Service availability may vary; we aim for high uptime but do not guarantee it
  • We may impose or adjust rate limits to maintain service quality

7. INTELLECTUAL PROPERTY

  • The OpenSERP open-source engine is licensed under MIT License
  • The hosted Service, its branding, and proprietary components remain our property
  • Search results belong to their respective sources; you are responsible for complying with applicable terms when using retrieved data

8. DATA HANDLING

  • We process only the data necessary to provide the Service
  • We do not store your search queries or results beyond what is needed for billing

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE. THIS DOES NOT EXCLUDE ANY WARRANTY OR STATUTORY GUARANTEE THAT CANNOT LAWFULLY BE EXCLUDED.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENSERP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. CONSUMER LIABILITY IS LIMITED ONLY TO THE EXTENT PERMITTED BY APPLICABLE CONSUMER LAW.

11. TERMINATION

  • You may close your account at any time
  • We may suspend or terminate your access if you violate these Terms
  • Unused credits following termination are handled under Section 5; we may deduct amounts lawfully owed to us

12. CHANGES TO TERMS

We may update these Terms for legal, security, operational, or Service changes. We will give reasonable advance notice of material changes by email or a prominent website notice and state when they take effect. Changes apply prospectively. If you do not agree, you should stop using the Service and may close your account before the effective date, subject to Section 5 and mandatory law.

13. GOVERNING LAW

These Terms are governed by the laws of England and Wales. If you use the Service for business purposes, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, those courts have non-exclusive jurisdiction, and you may bring proceedings in the courts where you live where applicable. Nothing in these Terms affects mandatory consumer protections under the law of your country of residence.
